3. Description of Services
Bythentic provides AI integration consulting services to businesses in Thailand and the surrounding region. Our offerings include AI Impact Assessment and Prioritization, Generative AI Business Applications development, and Ongoing AI Operations and Support. Specific deliverables, timelines, and scope for individual engagements are defined in separate service proposals or statements of work agreed upon between us and the client. These supplementary documents form part of the overall Agreement.
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with reasonable notice provided to active clients.
4. User Responsibilities
When using our website and services, you agree to provide accurate and current information in any forms or communications, use the website and our services only for lawful purposes, refrain from attempting to access restricted areas of our systems, not reproduce or distribute our content without written permission, and cooperate with reasonable requests for information needed to deliver services effectively.

6. Payment Terms
Service fees and payment schedules are detailed in individual service proposals provided to each client. All prices listed on our website are quoted in Thai Baht (฿) and are indicative; final pricing is confirmed in the service proposal for each engagement.
Payment is due according to the schedule specified in the applicable proposal. Unless otherwise agreed, invoices are payable within 30 days of issuance. Late payments may be subject to a reasonable interest charge as specified in the engagement terms.
Refund eligibility depends on the stage of service delivery. For assessment services, a partial refund may be available if cancellation occurs before the assessment fieldwork begins. For ongoing operations services, cancellation terms follow the notice period defined in the service agreement. Specific refund conditions are outlined in each service proposal.
7. Confidentiality
Both parties agree to treat confidential information received during a service engagement with the same level of care they apply to their own confidential materials. Confidential information includes business data, technical specifications, strategic plans, and any information identified as confidential by the disclosing party.
Obligations of confidentiality do not apply to information that is publicly available, independently developed, rightfully obtained from a third party, or required to be disclosed by law.
8. Disclaimers
Our website and services are provided on an "as is" and "as available" basis. While we make every reasonable effort to ensure accuracy and quality, we do not warrant that our website will be uninterrupted, error-free, or entirely secure at all times.
AI integration consulting involves complex technical and organizational factors. We do not guarantee specific business outcomes, financial returns, or performance improvements. Our total liability for any claim related to a service engagement shall not exceed the fees paid by you for that specific engagement during the twelve months preceding the claim.

10. Indemnification
You agree to indemnify and hold harmless Bythentic, its directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of our services, or your violation of any applicable law or third-party rights.
11. Termination
Either party may terminate a service engagement according to the terms set out in the applicable service proposal. In the absence of specific termination provisions, either party may terminate with 30 days' written notice.
We reserve the right to suspend or terminate your access to our website without prior notice if we reasonably believe you have violated these Terms or engaged in activity that could harm our business, systems, or other users.
Upon termination, provisions relating to intellectual property, confidentiality, limitation of liability, indemnification, and dispute resolution continue in effect.
12. Force Majeure
Neither party shall be held liable for delays or failure to perform obligations under these Terms caused by circumstances beyond reasonable control, including but not limited to natural disasters, government actions, pandemics, civil unrest, power failures, internet outages, or cyberattacks. The affected party will notify the other promptly and make reasonable efforts to mitigate the impact.
13. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Kingdom of Thailand. Any disputes arising from or in connection with these Terms shall first be addressed through good-faith negotiation between the parties.
If a dispute cannot be resolved informally within 30 days, either party may submit the matter to mediation administered by the Thailand Arbitration Center (THAC). If mediation does not result in resolution, the dispute shall be submitted to the jurisdiction of the competent courts in Chiang Mai, Thailand.
14. General Provisions
Entire Agreement: These Terms, together with our Privacy Policy, Cookie Policy, and any applicable service proposals, constitute the entire agreement between you and Bythentic regarding the subject matter herein.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force and effect.
Waiver: Failure by either party to enforce a right under these Terms does not constitute a waiver of that right.
Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to an affiliate or successor entity.
15. Changes to These Terms
We may revise these Terms periodically to reflect changes in our services, legal requirements, or business practices. The revised version will be posted on this page with an updated "Last Updated" date. Material changes will be communicated to active clients through direct notice.
